Ownify Terms of Service

LEGALLY APPROVED — reviewed and confirmed by Rita, acting as an authorized legal/counsel representative for Redge Inc. — 2026-10-04. Version 2026-10-04-legally-approved-1.

1. Who we are and what this is

1.1 Ownify (the "Service") is operated by Redge Inc. Redge Inc. is the legal company responsible for operating the Service and is organised under the laws of [JURISDICTION], registered at [ADDRESS] ("Ownify", "Redge Inc.", "we", "us", or "our", as the context requires). Contact: [CONTACT EMAIL].

1.2 The Service is a wallet-signed ledger and marketplace for records about assets that users say they own. Every action a user takes is a message signed by that user's wallet and verified by our servers before it is recorded. Ownify does not take custody of your keys. A wallet signature proves that the controlling wallet authorised a message; it does not by itself prove that any statement in the message is true, that an asset exists or is authentic, or that the signer legally owns or can transfer the asset.

1.3 The Service operates in stages, each switched on by Ownify's governance key only after the legal and technical prerequisites for that stage are met:

  • Beta (simulated). All amounts are entries in a simulated ledger. No money moves, no token exists, and nothing recorded has monetary value. This is the state of the Service unless the status page at /launch-status says otherwise.
  • Preview. A feature runs with nothing of real value at stake, either over the simulated ledger or on a public test network with test tokens.
  • Live. Real value moves. Settlement happens in a US-dollar stablecoin on a public blockchain (at launch: USDG issued by Paxos on Robinhood Chain), through smart contracts that we deploy but do not control once deployed except through the governance powers described in Section 9.

1.4 The stage of every feature is published at /launch-status. These Terms apply at every stage; Sections 6 to 9 apply with real effect only to features that are Live. Beta and Preview balances, listings, reputation, simulated ownership records and transactions do not become Live assets, claims or transactions unless Ownify expressly says they do.

2. Acceptance and eligibility

2.1 By connecting a wallet and signing any message to the Service you agree to these Terms and to the Privacy Policy and Risk Disclosure published at /legal/privacy and /legal/risk. Before your first Live action you will be asked to sign an acceptance of the version of these Terms then in force; that signature is recorded.

2.2 You must be at least 18 years old, able to form a binding contract, and not resident in, or acting for a person in, a jurisdiction we block. The blocked list is set by our compliance programme and enforced by geography and by wallet verification. [Counsel: confirm the list and whether it should be published here or referenced.]

2.3 Live features require that your wallet has passed identity verification (KYC for individuals, KYB for businesses) and sanctions screening. Verification is recorded against your wallet address with an expiry; we may refuse, suspend or revoke it at any time.

3. Your wallet, keys and signatures

3.1 You are responsible for your wallet, its keys and every message signed with it. A signed message is treated as your instruction. We cannot reverse a recorded message or a settled transaction.

3.2 If you use the in-browser "session key", the key exists only in that browser session, is lost when the session ends, and cannot act on a blockchain. Anything you record with it stays recorded under that address.

3.3 Every message carries a one-time nonce and an expiry. We reject replays and expired messages.

4. Listings, claims and evidence

4.1 You may list only assets you legally own or are authorised to list, and only categories the Service supports. You warrant that every statement, claim and file you submit is true, complete and yours to submit, and that it infringes no one's rights.

4.2 A listing is a record of your statements. An Ownify record, token, verification status, attestation or marketplace listing does not by itself create or prove legal title to a physical or off-chain asset. Where a Live transaction is expressly structured to transfer rights in an underlying asset, those rights are determined by the signed transaction terms, any required transfer or assignment documents, and applicable law. Any registration, filing, delivery, endorsement, notarisation or other act required by law remains the responsibility of the parties.

4.3 A listing does not constitute an endorsement by Ownify. Ownify does not verify that an asset exists, is authentic, or is where you say it is. Verification layers, reviews and attestations are the signed opinions of the parties who sign them (see Section 5). The trust score is a heuristic derived from those records, not a valuation, a guarantee or advice.

4.4 Evidence files are stored by their content hash. A file's hash and size are recorded permanently; changing a file changes its hash and voids every attestation bound to it. You must not upload content you have no right to share, personal data of others without their consent, or anything unlawful.

4.5 Listings marked "Sample listing" are illustrative examples created by Ownify. They are not offers and cannot be bought.

5. Vetted entities and the operator's role

5.1 Reviews, attestations, custody, arbitration, return inspection and delivery confirmation are performed by entities registered with the Service and vetted by governance. During the beta and until independent entities are onboarded, every vetted entity is operated or appointed by Redge Inc., the operator of Ownify. They act independently of the buyer and the seller in a given transaction, but not of us. This is disclosed on /beta and in the relevant flows.

5.2 Vetted entities may be suspended, and their attestations revoked, by governance. A revoked attestation stops trades that depended on it, even after a buyer has signed.

5.3 The Service can pause new activity at any time. Pausing never stops withdrawals, timeouts or rulings on existing orders.

6. Orders, escrow and settlement

6.1 A purchase opens an order: the buyer's funds are locked against the seller's signed terms and a seller bond, and the order moves through the states published in the settlement policy: funded, shipped, delivered, released; or disputed, return pending, refunded, split. Each state has a deadline; when a deadline lapses the order moves mechanically to the outcome the policy sets.

6.2 Sellers choose one of two settlement modes in their signed terms:

  • Custody-first: the item is held by a vetted custodian; control of the Ownify record moves to the buyer when the custodian signs the transfer. That record transfer does not by itself guarantee that legal title to the underlying item has transferred. Title and risk of loss pass only as provided in the signed transaction terms and applicable law, including any additional transfer formalities that the law requires. The seller's proceeds and bond are held for 14 days after release and can be clawed back by an upheld claim challenge in that window.
  • Shipping: available below the top value tier for shippable categories. The seller must declare shipment within the ship window (default 5 days, at most 10), delivery evidence is due within the transit window (default 21 days, at most 30), and the buyer has an inspection window (default 72 hours, at most 7 days) to confirm or dispute. Silence releases the funds to the seller.

6.3 Value tiers set stakes and duties: T0 under $500, T1 up to $5,000, T2 above $5,000. The seller bond is 10% of the price (minimum $25 in T0) and 2% in T2. A party opening a dispute locks a dispute deposit of 2% of the price (minimum $10 in T0, maximum $500 in T1/T2). Bonds and deposits escalate, up to five times, with a party's history of lost disputes and missed shipments.

6.4 Disputes. Either party may dispute within the windows the policy allows. An arbiter (and a backup) is drawn from the vetted pool by a keyed draw neither party can predict; each side may file one evidence bundle within 72 hours; the arbiter rules within 7 days under the published Arbiter Rulebook. If the arbiter is silent, the backup takes over once; if both are silent, the policy's mechanical default decides. Rulings may release, refund, order a return, or split. The loser's bond or deposit is slashed or forfeited: 30% (at most $250) pays the arbiter and the rest goes to the other party.

6.5 Appeals (where enabled). The losing party may appeal within 72 hours by posting an appeal bond (twice the tier's base deposit, minimum $50). A panel of three different arbiters rules by majority within 7 days; a confirmed ruling forfeits the appeal bond, an overturned ruling refunds it. There is no further appeal.

6.6 Returns. When a ruling orders a return, the buyer ships to a vetted return inspector within 5 days; the inspector records match, mismatch or partial return and the payout follows. The inspector's fee is 1% of the price (minimum $25, maximum $150), paid from the losing party's stake.

6.7 Fractions. Fractional listings settle instantly: the amount is released to the seller and the fractions are credited to the buyer in one step. Fraction trading requires the item to be in vetted custody. A fraction does not automatically represent direct legal co-ownership of the physical asset. Before any fractionalisation feature is Live, the listing and applicable legal documents must state the exact rights represented by a fraction, including any economic, governance, redemption, transfer, custody and enforcement rights. Fractionalisation is available only where the required legal and regulatory clearance is recorded on /launch-status.

6.8 Redemption (where enabled). The holder of the whole asset, or of every fraction, may require the custodian to release the item under the same shipping or handover rules.

6.9 The full policy — every window, stake, fee and default — is hashed into each seller's signed terms, and each buyer's order commits to those terms. Changes to the policy never alter a standing order.

7. Fees

7.1 Fees are set out in the Fee Schedule at /legal/fees. At launch the only fee is a trade fee of 1.5% of the seller's proceeds, deducted when the proceeds are paid to the seller. No fee is charged on refunds, bonds, deposits, forfeitures or clawbacks. The fee rate in force when an order opens applies to that order.

7.2 Fees are distributed as the Fee Schedule states (stakers, buyback, treasury, insurance pool). Ownify may change the schedule prospectively by publishing a new version; the change never applies to open orders.

8. Live settlement on a blockchain

8.1 When settlement is Live, funds are held by smart contracts on a public blockchain, denominated in the stablecoin the status page names. You interact with those contracts from your own wallet and pay the network's transaction fees. Ownify's servers issue signed permits that carry the Service's checks (verification level, terms, draws) to the contracts; the contracts trust the permit signer for those checks and for nothing else. Money moves only on your own transaction or on the contract's published rules.

8.2 Blockchain transactions are irreversible. Bridging funds to or from the settlement chain is provided by third parties and is at your own risk. The stablecoin is issued and redeemable by its issuer, not by Ownify.

8.3 Our contracts are open source and are required by the launch gate to have the applicable audit clearance before the relevant Live stage; audit reports are referenced from /launch-status. Audited software can still contain defects. See the Risk Disclosure.

9. Governance powers and the kill switch

9.1 Ownify's governance key, controlled by Redge Inc. unless /launch-status expressly states otherwise, can: switch any feature to off at any time; vet, suspend and reinstate entities; record and revoke legal clearances; set the fee schedule within published caps (trade fee at most 5%); pause the contracts; appoint compliance agents; approve insurance-pool payouts. Governance cannot move user funds, alter a recorded message, or change the rules of an open order.

9.2 We may switch a feature off with immediate effect. Existing orders continue under their signed terms: deadlines run, rulings issue, withdrawals work.

10. Prohibited conduct

You must not: misrepresent an asset or your ownership; list the same asset twice or list an asset already listed by another; use the Service to launder money, evade sanctions or finance anything unlawful; interfere with the Service, its contracts or other users' wallets; use the Service from a blocked jurisdiction or through means designed to hide your location; post another person's data without consent; or impersonate anyone, including by display name.

11. Intellectual property and content

You keep the rights in content you submit and grant us a worldwide, non-exclusive licence to store, display and process it to run the Service, including to serve it publicly as part of a listing and to retain hashes and records permanently. The Service's software is licensed as stated in its repository; the Ownify name and marks are ours.

12. Relationship between users

12.1 Except where Redge Inc. expressly states that it is acting as the seller, buyer, custodian or other principal in a particular transaction, transactions are between users. Operating the Service, recording a transaction, providing verification infrastructure, resolving a Service dispute or settling funds does not by itself make Redge Inc. the owner, buyer or seller of the underlying asset.

12.2 Use of the Service does not by itself create a partnership, joint venture, fiduciary, agency or employment relationship between a user and Redge Inc.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY ASSET EXISTS, IS AUTHENTIC, IS OWNED BY THE PERSON LISTING IT, OR HAS ANY VALUE; THAT ANY ATTESTATION IS CORRECT; THAT ANY ARBITER'S RULING IS CORRECT; OR THAT THE SERVICE, ITS CONTRACTS OR ANY BLOCKCHAIN WILL BE AVAILABLE OR ERROR-FREE. NOTHING ON THE SERVICE IS INVESTMENT, LEGAL OR TAX ADVICE.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REDGE INC., OWNIFY AND THEIR OFFICERS, EMPLOYEES AND VETTED ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, ASSETS OR GOODWILL, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AND [US$100]. [Counsel: confirm the cap and consumer-law carve-outs for the target jurisdictions.]

15. Indemnity

You will indemnify us against claims arising from your listings, your content, your breach of these Terms or your violation of law.

16. Suspension and termination

We may suspend or terminate your access at any time, including for breach, legal risk or a compliance decision. Recorded messages and settled transactions remain recorded. Open orders continue under their terms unless a ruling or the policy ends them.

17. Changes to these Terms

We may amend these Terms by publishing a new version. The version in force is the one whose hash governance has cleared; the page at /legal/terms shows the hash of the text it serves and whether it matches. You will be asked to accept a new version before your next Live action.

18. Governing law and disputes with Ownify

These Terms are governed by the laws of [JURISDICTION]. Disputes between you and Redge Inc. concerning Ownify (as opposed to disputes between buyers and sellers, which Section 6 governs) shall be resolved by [ARBITRATION BODY / COURTS OF JURISDICTION]. [Counsel: choose forum, arbitration and class-action terms.]

19. Miscellaneous

If any provision is unenforceable the rest survives. Our failure to enforce is not a waiver. You may not assign these Terms; we may assign them to a successor. These Terms, the Privacy Policy, the Risk Disclosure and the Fee Schedule are the entire agreement between you and Ownify about the Service.
